1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website, products, and services offered by Ceres Infotech (“we”, “us”, or “our”), including custom software development, web and mobile app development, web hosting, domain registration, cloud servers, bulk SMS, and related services (collectively, the “Services”). By accessing our website, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Our Services

Ceres Infotech provides custom software development and digital services, alongside a self-service platform for purchasing domain names, web hosting, cloud servers, and bulk SMS credits. Some services listed on our platform are provisioned automatically upon successful payment, while others (such as custom software projects) are scoped and delivered under a separate statement of work or agreement.

3. Accounts & Registration

To purchase or manage certain Services, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation, including India's IT Act, 2000;
• Send unsolicited bulk messages (spam) in violation of TRAI regulations or applicable SMS/DLT compliance requirements;
• Host or distribute malicious code, phishing content, or infringing material;
• Attempt to gain unauthorized access to any system, network, or account; or
• Resell Services in violation of the applicable product's terms without our written consent.

We reserve the right to suspend or terminate any account or service found to be in violation of this Acceptable Use policy, with or without notice.

5. Domain Registration

Domain name registrations are subject to the policies of the relevant domain registry and ICANN (for gTLDs) or the applicable ccTLD authority (e.g. NIXI for .in domains). By registering a domain, you agree to those third-party policies in addition to these Terms. We act as a reseller/registrar interface and are not responsible for registry-level outages or policy changes outside our control.

6. Hosting, Cloud & SMS Services

Hosting and cloud plans are provisioned on a subscription basis (monthly or yearly) and renew automatically unless cancelled prior to the renewal date. Bulk SMS credits are prepaid and consumed as messages are sent; delivery is subject to telecom operator filtering, DLT registration status, and network conditions outside our control, and we do not guarantee delivery of every message.

7. Payments & Billing

All prices are listed in Indian Rupees (INR) unless stated otherwise and are subject to applicable taxes. Payment is due at the time of order unless otherwise agreed in writing. Failure to pay renewal fees may result in suspension or cancellation of the affected service, including loss of a domain name after the applicable grace period.

8. Custom Software Development Projects

Custom software, web, and mobile app development engagements are governed by a separate project agreement or statement of work covering scope, milestones, payment schedule, and intellectual property assignment. In the absence of a specific written agreement, these Terms apply to the extent relevant.

9. Intellectual Property

Unless otherwise agreed in a project contract, all content on this website — including text, graphics, logos, and code powering the website itself — is the property of Ceres Infotech or its licensors and may not be copied or reused without permission. Ownership of custom-developed deliverables transfers to the client upon full payment, as specified in the relevant project agreement.

10. Limitation of Liability

To the maximum extent permitted by law, Ceres Infotech shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services, including loss of data, revenue, or business opportunity. Our total liability for any claim relating to the Services shall not exceed the amount paid by you for the relevant Service in the twelve (12) months preceding the claim.

11. Termination

We may suspend or terminate your access to any Service for breach of these Terms, non-payment, or suspected fraudulent or abusive activity. You may cancel your account or any subscription service at any time through your dashboard or by contacting support; cancellation does not entitle you to a refund except as described in our Refund Policy.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
